Hill & Smith Holdings PLC ("Hill & Smith" or the Company") announces that it was
notified on 16 October 2006 that Mr G Hampson Silk has disposed of 183,807
ordinary shares in the Company and that Mr P Hampson Silk has disposed of 183,
886 ordinary shares in the Company. In addition, Hampson (BWA1) Limited, a
company owned by Mr G Hampson Silk and Mr P Hampson Silk, has disposed of 23,334
ordinary shares in the Company.

Following these disposals, Mr G Hampson Silk and Mr P Hampson Silk no longer
have a notifiable interest in the ordinary share capital of Hill & Smith.
