Notification under paragraphs 3.1.2R to 3.1.4R of the Disclosure and 
Transparency Rules

Hill & Smith Holdings PLC ("Hill & Smith" or the "Company") announces that it 
has today received notification that on 19 June 2007 Mr D L Grove, being a 
person discharging managerial responsibilities ('PDMR') of Hill & Smith, sold 
300,000 ordinary shares in the Company at 360 pence per share.  The place of 
this transaction was the London Stock Exchange.

Following this sale, Mr D L Grove is beneficially interested in 959,969 
ordinary shares, representing 1.27% of the issued share capital of the Company.
