Notification under paragraph 3.1.2R of the Disclosure and Transparency Rules

Hill & Smith Holdings PLC ("Hill & Smith" or the "Company") announces that it 
has today received notification that Mr C J Snowdon, being a person discharging 
managerial responsibilities ('PDMR') of Hill & Smith, has today purchased 4,852
ordinary shares in the Company at 400 pence per share and 1,300 ordinary shares 
at 397 pence per share.  The place of this transaction was the London Stock 
Exchange.

Following this purchase, Mr Snowdon is beneficially interested in 7,500 ordinary
shares in the Company, representing approximately 0.01% of the issued share 
capital of Hill & Smith.
