Notification under paragraph 3.1.2R of the Disclosure and Transparency Rules


Hill & Smith Holdings PLC ("Hill & Smith" or the "Company") announced on 
3 September 2007 that Mr Christopher J Burr would be retiring from the Board 
at the Company's next Annual General Meeting to be held in May 2008.

Hill & Smith has today received notification that Mr Burr sold 137,628 ordinary 
shares in the Company at 397.5 pence per share on 5 October 2007. The place of 
this transaction was the London Stock Exchange.
